- Verification that the proposed entity name is available
- Eligibility of proposed shareholders to hold the requisite business licenses
- Filing with the Secretary of State
- Arrange for issuance of authorized stock for corporation
- Complete Certificate of Incorporation or Articles of Organization for LLC or LLP
- Arrange for proper designation and execution of stock or membership certificates for LLC or LLP
- Complete and file the Subchapter "S" election forms
- Draft Shareholder Agreements and Operating Agreements
